These Terms and Conditions are between the User of this Website (“you” or “your”) and EYZHN Limited (collectively referred to as "we", “us”, "our", or "EYZHN"), the owner and provider of this Website. Please read these Terms and Conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these Terms and Conditions, you should stop using the Website immediately.

In these Terms and Conditions, User or Users means any third party that accesses the Website and is not either (i) employed by us and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to us and accessing the Website in connection with the provision of such services.

You must be at least 18 years of age to use this Website. By using the Website and agreeing to these Terms and Conditions, you represent and warrant that you are at least 18 years of age.

1. Intellectual property and acceptable use

All Content included on the Website, unless uploaded by Users, is the property of EYZHN, our affiliates or other relevant third parties. In these Terms and Conditions, Content means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Website, including any such content uploaded by Users. By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights.

Nothing on this site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner’s prior written permission. You may, for your own personal, non-commercial use only, do the following: retrieve, display and view the Content on a computer screen. You must not otherwise reproduce, modify, copy, distribute or use for commercial purposes any Content without our written permission.

You may cancel your registration at any time by informing us in writing to the address at the end of these Terms and Conditions. If you do so, you must immediately stop using the Website. Cancellation or suspension of your registration does not affect any statutory rights.

We assume no responsibility for the content of such Websites and disclaim liability for any and all forms of loss or damage arising out of the use of them. Whilst we use reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guaranty in that regard, and all Users take responsibility for their own security, that of their personal details and their computers. EYZHN accepts no liability for any disruption or non-availability of the Website. We reserve the right to alter, suspend or discontinue any part (or the whole of) the Website including, but not limited to, any products and/or services available. These Terms and Conditions shall continue to apply to any modified version of the Website unless it is expressly stated otherwise.

7. Limitation of liability

Nothing in these Terms and Conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.

We will not be liable to you in respect of any losses arising out of events beyond our reasonable control. To the maximum extent permitted by applicable law, EYZHN accepts no liability for any of the following: any business losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities; loss or corruption of any data, database or software; any special, indirect or consequential loss or damage.

8. General

You may not transfer any of your rights under these Terms and Conditions to any other person. We may transfer our rights under these Terms and Conditions where we reasonably believe your rights will not be affected.

These Terms and Conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the Terms and Conditions regularly to ensure familiarity with the current version.

These Terms and Conditions together with the Privacy and Cookies Policy contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

If any court or competent authority finds that any provision of these Terms and Conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected. Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

This Agreement shall be governed by and interpreted according to the law of Hong Kong SAR and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

10. Sale of Digital Downloads

These Terms and Conditions govern the sale of all digital downloads (“Digital Downloads,” “Digital Tools”) on this Website. By ordering any Digital Download, you agree to be bound by these Terms and Conditions. You may purchase only if you are at least 18 years old and legally capable of entering into a contract.

Product description

Descriptions are as set out on the Website and related materials and are for illustrative purposes; minor discrepancies may occur.

If a Digital Download is produced or configured to your specifications, you are responsible for ensuring the information you provide is accurate.

We may make changes to Digital Downloads, including improvements, bug fixes, or compatibility updates.

Price and payment

Prices and any delivery or other charges are those displayed at checkout on the date of your order (or as otherwise agreed in writing).

Prices are shown exclusive of any applicable VAT/Sales Tax unless stated otherwise; taxes are calculated at checkout.

Payment is due in full before delivery. We process online transactions via our payment providers (e.g., LemonSqueezy and other providers listed at checkout), and payments may be accepted in multiple currencies.

Prices and promotions may change without notice, but changes do not affect orders we have already accepted.

Delivery method

After successful payment, your Digital Download will be delivered electronically via a download link and/or secure online access. You are responsible for maintaining a valid email address and promptly downloading/retaining copies for your records.

Returns and refunds

Due to the nature of digital goods, all sales are final and non‑refundable once access is provided.

For practitioner seat‑based distribution, additional terms apply; see Section 11 (Licensing and Practitioner Distribution) and the Practitioner License Terms, which form part of these Terms.

11. Licensing and Practitioner Distribution of Digital Downloads

Personal license (default)

Upon purchase, we grant you a non‑exclusive, non‑transferable personal license to use the Digital Download for your own internal purposes. For practitioners, “personal” use may include using the tool internally to analyse a client’s blood work, symptoms, or similar, and sharing read‑only outputs (e.g., PDFs/exports) with the client. Unless expressly authorised in writing, you may not share, resell, sublicense, distribute, or publicly post the raw spreadsheet files, links, or access credentials.

Practitioner licenses

If you purchase or are issued a practitioner license, you may distribute the specified Digital Tool to your clients only via the private redemption method we provide (e.g., discount code or private link).

Do not upload, email, post, gift, or otherwise distribute raw spreadsheets, templates, redemption links, or codes. Clients must obtain access only via your private redemption process. Public posting of codes, links, or source files is prohibited.

Each successful client redemption counts as one seat.

Practitioner licenses are tied to a specific product variant and to your practitioner code for that variant. Seats cannot be split across variants or shared with practitioners or organisations outside your practice. A single practitioner code may be used by multiple practitioners working within the same practice entity; each client redemption counts as one seat.

Term, start date, expiry, and top‑ups

Unless otherwise stated in your order confirmation, the standard term for a practitioner code is 12 months.

The term begins when we deliver your practitioner code (or as otherwise stated in your order confirmation).

During your active term, you may distribute seats until used or until the term ends. After expiry, existing client copies remain usable; new redemptions are blocked.

Top‑ups: You may purchase additional seat blocks for the same product variant at any time. When added to an existing code, the code’s expiry resets to a fresh 12‑month term from the top‑up date for all remaining and newly added seats. Switching to a different product variant requires a separate code; terms do not transfer across variants.

Format and compatibility

Supported formats are listed on the product page (e.g., Google Sheets and/or Microsoft Excel).

Certain spreadsheets require Microsoft 365 Excel (e.g., tools using checkboxes). Older Excel versions may not support required features. It is your responsibility to confirm compatibility before purchase.

Updates and versions

During your active practitioner term, we may provide updates at our discretion. Critical bug fixes may be issued regardless. You may continue using your current version if preferred.

Branding, customisation, and restrictions

You may not remove or alter EYZHN branding, copyright notices, or embedded license information without our prior written agreement. Custom branding or tweaks may be available as a paid service.

You may not reverse engineer, create derivative works for redistribution, or otherwise attempt to bypass technical restrictions.

Enforcement

We may suspend or deactivate redemption links/codes used outside scope, in violation of these Terms, or publicly posted. Reinstatement is at our discretion.

No medical advice

Digital Tools are provided for informational purposes only and do not constitute medical advice. Use is subject to our Medical Disclaimer.

12. Sale of Functional Testing Packages

These are the Terms and Conditions by which we sell all Functional Testing Packages to you. By ordering any of the Testing Packages, you agree to be bound by these Terms and Conditions. You can only purchase the Testing Packages from the Website if you are eligible to enter into a contract and are at least 18 years old.

Functional Testing Packages

The description of the Testing Packages is as set out on the Website or other promotional material. These packages include private laboratory tests offered as part of a wellness consultation service. Any description is for illustrative purposes only and small variations in service availability, test panels, or provider processes may occur.

Eligibility for Testing Packages is limited to individuals who are at least 18 years of age, not currently pregnant or breastfeeding, and without active cancer, kidney disease, or an eating disorder. Functional tests are not available for clients residing in the USA or Canada.

We reserve the right to make changes to the Testing Packages or testing providers as required.

Price and payment

The price of the Testing Package and any applicable delivery or shipping charges is that set out on the Website at the time of your order. Prices do not include VAT/Sales Tax unless explicitly stated.

Payment must be completed before your test kit is dispatched. Airwallex is used for secure payment processing.

Delivery method

Once your purchase is confirmed, the test kit will be dispatched directly to your provided address by the testing provider. Delivery timeframes may vary based on your location and test provider logistics.

Returns and refunds

Due to the nature of the items, Testing Packages are not eligible for returns or refunds once the order has been processed. If you have questions about your suitability before purchasing, please contact us.
